Terms of Service

1. Agreement to Terms

By accessing or using the services of APPIT Software Solutions ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

APPIT Software Solutions provides AI-powered software solutions, digital transformation services, and related consulting services. Our services include but are not limited to:

• Custom software development
• AI and machine learning integration
• Legacy system modernization
• Cloud migration services
• Enterprise software solutions

3. User Accounts

Some features of our services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Upload malicious code or content
• Violate the intellectual property rights of others
• Resell or redistribute our services without authorization

5. Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and images, are owned by APPIT Software Solutions or our licensors and are protected by intellectual property laws.

6. Client Projects

For custom development projects, ownership of deliverables will be defined in the applicable project agreement. Unless otherwise specified:

• Client retains ownership of their proprietary data and content
• We retain ownership of our pre-existing tools and frameworks
• Custom code developed for the client is transferred upon full payment

7. Payment Terms

Payment terms are specified in individual service agreements. Generally:

• Invoices are due within 30 days unless otherwise agreed
• Late payments may incur interest charges
• We reserve the right to suspend services for non-payment

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our engagement. This obligation survives termination of services.

9. Limitation of Liability

To the maximum extent permitted by law, APPIT Software Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amounts paid by you in the twelve months preceding the claim.

10. Disclaimer of Warranties

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

11. Indemnification

You agree to indemnify and hold harmless APPIT Software Solutions and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

12. Termination

Either party may terminate services as specified in the applicable service agreement. Upon termination:

• All outstanding payments become immediately due
• We will provide reasonable assistance in transitioning services
• Confidentiality obligations continue to apply

13. Refund & Cancellation

Refund and cancellation terms vary by service type and are detailed in our Refund Policy. In summary:

• Custom development projects follow milestone-based refund terms.
• SaaS subscriptions may be cancelled at any time with refunds subject to plan type.
• Consulting hours consumed are non-refundable.

14. SLA & Uptime (SaaS Products)

For our SaaS products (FlowSense, Vidhaana, TrackNexus, Workisy), we target 99.9% uptime measured monthly, excluding scheduled maintenance windows. Scheduled maintenance is communicated at least 48 hours in advance. Service credits for downtime exceeding the SLA target are detailed in your individual service agreement.

15. Data Processing

When we process data on your behalf as part of our services, we act as a data processor under your instructions. We maintain appropriate technical and organizational measures to protect data, and we enter into data processing agreements with all clients where required. 16. Third-Party Services

Our services may integrate with or depend on third-party services (cloud providers, payment processors, analytics tools). We are not liable for the availability, accuracy, or security of third-party services. Your use of third-party services is subject to their respective terms and conditions.

17. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power outages, internet disruptions, or failures of third-party service providers.

18. Dispute Resolution

In the event of a dispute arising from or relating to these terms:

• Informal resolution: The parties shall first attempt to resolve the dispute through good-faith negotiation for a period of 30 days.
• Mediation: If negotiation fails, the dispute shall be submitted to mediation under the rules of the Indian Council of Arbitration.
• Arbitration: If mediation fails, the dispute shall be resolved by binding arbitration in Hyderabad, India, under the Arbitration and Conciliation Act, 1996.
• Litigation: Either party may seek injunctive or equitable relief in the courts of Hyderabad, Telangana, India.

19. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

20. Export Compliance

You agree not to use our services in violation of any applicable export control or sanctions laws, including those of India, the United States, and the European Union. You represent that you are not located in a sanctioned country and are not a restricted party under any applicable regulations.

21. Governing Law

These terms are governed by the laws of India. Subject to the dispute resolution provisions above, any legal proceedings shall be brought in the courts of Hyderabad, Telangana, India.

22. Changes to Terms

We reserve the right to modify these terms at any time. Continued use of our services after changes constitutes acceptance of the modified terms.
